5. User Interactions and Content Sharing As a registered user, you can interact with other users by "friending" them, sending direct messages, and sharing posts and photos. You are encouraged to share your thoughts, experiences, and images, but you are solely responsible for the content you upload. By uploading content, you grant SpotlightOnCars the right to share your content with other users on the Site and use it for promotional purposes related to our business. You may also participate in various contests and activities, including the "Best Garage Contest." Any rewards earned, such as Spot Points or prizes, will be subject to these Terms.

Content Policies

1. Content Standards Users are responsible for ensuring that all content they upload, share, or interact with on the Site complies with our content standards and guidelines. Content must not:
   Be illegal, defamatory, obscene, or offensive.
   Violate any intellectual property rights.
   Promote violence, hate speech, or discrimination.
2. ontent Moderation We reserve the right to review and moderate all user-generated content. We may remove content and suspend or terminate accounts that violate our standards or these Terms. Users will be notified of any action taken against their content or account.
3. Reporting Violations If you come across content that you believe violates our standards or these Terms, please report it to us at report@spotlightoncars.com. We will review the report and take appropriate action.

Service Description

SpotlightOnCars provides an online platform where car enthusiasts can connect, share content, and interact with other users. Through the Site, you can: Create a personal profile and account. Connect with other users by adding them as friends. Send and receive direct messages with other users. Post and share content, such as photos and updates, related to your experiences with cars. Engage in discussions and interact with content posted by other users. Participate in various activities and contests, such as the "Best Garage Contest."

Spot Points

Users will be rewarded with "Spot Points," a form of currency on the Site, for completing certain activities such as:

• Creating an account
• Uploading content
• Interacting with other users

Spot Points can be spent on activities like:

• Voting in the "Best Garage Contest"
• Messaging users who are not on your friends list
• Other features as may be introduced

If a user runs out of Spot Points, they can purchase additional Spot Points using a credit card. Spot Points are priced at USD $10 for 2,500 points, though we may introduce different price points for varying quantities in the future. Please note that pricing may change from time to time, and money used to purchase Spot Points is non-refundable.

Contests and Rewards

SpotlightOnCars offers various contests, including the "Best Garage Contest." Winners of such contests may receive rewards, which could include cash prizes, where allowable by law. We reserve the right to modify contest rules and prizes at any time, including the right to stop offering cash prizes. We reserve the right to modify or discontinue any features or services offered on the Site at our discretion and without notice. Your continued use of the Site following any changes signifies your acceptance of those changes.

Payment and Billing

Certain features of the Site, such as purchasing additional Spot Points, require payment. By using these features, you agree to the following payment terms:

1. Purchasing Spot Points
   If you run out of Spot Points, you may purchase additional Spot Points using a valid credit card. The current pricing for Spot Points is as follows: USD $10 for 2,500 Spot Points. We reserve the right to introduce different price points for varying quantities of Spot Points in the future. Please note that pricing may change at any time, and any changes will be reflected on the Site. All payments for Spot Points are non-refundable.
2. Billing Information
   You agree to provide accurate and complete billing information when making any purchases on the Site. If your payment method is declined or fails, you will be unable to access features that require the use of Spot Points until you have sufficient points or make additional purchases. Your account will not be suspended for payment failures.
3. Refund Policy
   All purchases of Spot Points are final, and no refunds will be issued under any circumstances.

Intellectual Property

1. Ownership
   All content, features, and functionality on the Site, including but not limited to text, graphics, logos, images, software, and data (collectively, "Content"), are the exclusive property of SpotlightOnCars or its licensors and are protected by copyright, trademark, and other intellectual property laws.
2. User Content
   By uploading or submitting content to the Site, you grant SpotlightOnCars a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, adapt, publish, display, and distribute such content for any purpose related to the operation of the Site or its promotion. This includes, but is not limited to, sharing the content with other users and using it in promotional materials.
You represent and warrant that you have all necessary rights and permissions to grant this license and that your content does not infringe or violate any third-party rights.
3. Trademarks
   SpotlightOnCars, the SpotlightOnCars logo, and other trademarks, service marks, and trade names used on the Site are the property of SpotlightOnCars or its affiliates. You may not use any of these trademarks without our express written permission.
4. Restrictions
   You may not:
   Copy, modify, distribute, or create derivative works of any Content from the Site without our prior written consent. Reverse engineer, decompile, or disassemble any software or technology used in the Site. Use the Site for any commercial purposes not expressly authorized by these Terms.

Disclaimers and Limitation of Liability

1. Disclaimer of Warranties
   The Site and all content and services provided through it are offered on an "as is" and "as available" basis. SpotlightOnCars makes no warranties, express or implied, regarding the Site, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.
2. Limitation of Liability
   To the fullest extent permitted by law, SpotlightOnCars shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: Your use or inability to use the Site. Any unauthorized access to or use of our servers and/or any personal information stored therein. Any interruption or cessation of transmission to or from the Site. Any bugs, viruses, or the like that may be transmitted to or through the Site. In no event shall our total liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed the amount you have paid to us, if any, for accessing the Site.
3. Indemnification
   You agree to indemnify, defend, and hold harmless SpotlightOnCars, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or related to: Your use of the Site. Your violation of these Terms. Any content you submit or transmit through the Site.

Governing Law and Jurisdiction

Governing Law
These Terms and any disputes arising out of or related to your use of the Site shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.

Dispute Resolution
Any disputes or claims arising from or related to these Terms or your use of the Site shall be resolved in the courts of Ontario, Canada. You agree to submit to the personal jurisdiction of these courts and waive any objections to venue or forum non conveniens.

Changes to Governing Law
We reserve the right to change the governing law and jurisdiction provisions of these Terms at our discretion. Any changes will be effective immediately upon posting to the Site. Miscellaneous

Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

Entire Agreement
These Terms, along with our Privacy Policy and any other legal notices or agreements published on the Site, constitute the entire agreement between you and SpotlightOnCars regarding your use of the Site and supersede all prior agreements and understandings.

Waiver
The failure of SpotlightOnCars to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of SpotlightOnCars.
